NOTICE OF PUBLIC HEARING ON PROPOSED ISSUANCE BY THE PUBLIC FINANCE AUTHORITY OF ITS CHARTER SCHOOL REVENUE BONDS (CHEROKEE CLASSICAL ACADEMY PROJECT) IN AN AGGREGATE MAXIMUM STATED PRINCIPAL AMOUNT NOT TO EXCEED $30,000,000 FOR THE BENEFIT OF LIBERTY CLASSICAL SCHOOLS FOUNDATION CHEROKEE, LLC Notice is hereby given that on July 17, 2025, a public hearing, as required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the "Code"), and O.C.G.A. Section 50-1-14, will be held by an attorney with the Department of Law of the State of Georgia (in such capacity, the "Hearing Officer"), as the designee, for such purpose, of the Attorney General of the State of Georgia (the "Attorney General"), with respect to the proposed issuance by the Public Finance Authority (the "Authority"), a commission organized under and pursuant to the provisions of Sections 66.0301, 66.0303 and 66.0304 of the Wisconsin Statutes, as amended (the "Act"), of its Charter School Revenue Bonds (Cherokee Classical Academy Project), in one or more series or issuances as part of a plan of finance (the "Bonds") and in an aggregate maximum stated principal amount not to exceed $30,000,000. The hearing will commence at 10:00 a.m., or as soon thereafter as the matter can be heard, and will be held at 40 Capitol Square SW, 1st Floor, Room 1113, Atlanta, Georgia 30334. The Bonds are expected to be issued by the Authority pursuant to the Act and the proceeds from the sale of the Bonds are expected to be loaned to Liberty Classical Schools Foundation Cherokee, LLC (the "Borrower"), a Georgia limited liability company, the sole member of which is Liberty Classical Schools Foundation, Inc., a Georgia nonprofit corporation and an organization described in Section 501(c)(3) of the Code, and used for the following purposes: (a) financing or refinancing (including through reimbursement) the acquisition, improvement and equipping of an educational facility located on an approximately 13-acre tract of land located at 2126 Sixes Road, Canton, Cherokee County, Georgia 30114 (the "Facility"); (b) funding certain reserve fund(s) for, and interest on, the Bonds and/or working capital for the Borrower; and (c) paying the costs of issuance of the Bonds (collectively, the "Project"). The Borrower, as the legal owner, will lease the Facility to Liberty Classical Schools Educational Services, Inc. (the "Lessee"), as the principal user and operator, for the use and operation of "Cherokee Classical Academy," a public charter school authorized by the State Charter Schools Commission of Georgia. The Lessee is a Georgia nonprofit corporation and an organization described in Section 501(c)(3) of the Code. All or a majority of the Bonds are expected to be tax-exempt qualified 501(c)(3) bonds as described in Section 145 of the Code. The Bonds will be special limited obligations of the Authority payable solely from funds paid by the Borrower to the Authority, and certain funds and accounts established by the bond indenture for the Bonds. Neither the State of Georgia nor any county, municipal corporation or political subdivision thereof will have any liability whatsoever for the repayment of the Bonds. The public hearing will provide an opportunity for all interested persons to express their views on the proposed issuance of the Bonds and the financing and/or refinancing of the Project. Any person interested in the issuance of the Bonds may appear and be heard or submit written comments. Any person wishing to submit written comments regarding the proposed issuance of the Bonds, the financing and/or refinancing of the Project or any matter related thereto should do so by delivering such written comments to publiccomments@law.ga.gov prior to the hearing.
